PEPTIDIRECT RESEARCH PURCHASE AGREEMENT
Peptidirect, LLC and TSB Holdings, LLC — Governed by Idaho Law

This Research Purchase Agreement (“Agreement”) is entered into between the individual submitting this order (“Purchaser”) and Peptidirect, LLC and TSB Holdings, LLC (collectively, “PeptiDirect” or “Company”). By signing below, Purchaser agrees to be legally bound by all terms herein.

1. Research Use Only — Absolute Restriction. Purchaser represents, warrants, and covenants that ALL compounds purchased through PeptiDirect are acquired solely for legitimate in vitro scientific research and laboratory purposes. These compounds are NOT intended for, and Purchaser agrees they will NOT be used for: (a) human consumption; (b) self-administration or personal use; (c) therapeutic, diagnostic, or clinical use in any living organism; (d) veterinary use; or (e) resale for any of the foregoing purposes. This restriction is absolute and unconditional.

2. Regulatory Acknowledgment. Purchaser specifically acknowledges and understands that: (a) all compounds sold by PeptiDirect are not approved by the U.S. Food and Drug Administration (FDA) for any human therapeutic use or indication; (b) many compounds are classified as Category 2 bulk drug substances under FDA Sections 503A and 503B interim guidance, which explicitly prohibits their compounding for human use; (c) the FDA and Department of Justice have pursued active enforcement actions, including criminal prosecution, against individuals and entities that market or facilitate the use of these compounds for human purposes; and (d) more than 40 state attorneys general have identified unapproved research peptide distribution as an enforcement priority.

3. Age and Legal Capacity. Purchaser represents and warrants that: (a) Purchaser is at least eighteen (18) years of age; (b) Purchaser has full legal capacity and authority to enter into and perform this Agreement; (c) Purchaser is not subject to any legal disability or restraining order that would impair their ability to contract; and (d) this Agreement constitutes a valid and binding obligation of Purchaser.

4. Assumption of Risk. PURCHASER EXPRESSLY ASSUMES ALL RISK associated with the acquisition, handling, storage, and use of research compounds purchased from PeptiDirect, including but not limited to: regulatory risk, enforcement risk, health and safety risk, and any risk arising from the nature of unscheduled research chemical compounds. PeptiDirect makes no representation or warranty as to the fitness of any compound for any particular research purpose.

5. Indemnification. Purchaser agrees to DEFEND, INDEMNIFY, AND HOLD HARMLESS PeptiDirect, Peptidirect LLC, TSB Holdings LLC, and their respective members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, demands, suits, judgments, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) any breach by Purchaser of any representation, warranty, or obligation under this Agreement; (b) Purchaser’s use, misuse, or handling of any purchased compound; (c) any violation by Purchaser of any applicable law, regulation, or rule; or (d) any third-party claim arising from Purchaser’s conduct in connection with the compounds purchased.

6. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEPTIDIRECT BE LIABLE TO PURCHASER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

7. No Returns; All Sales Final. Due to the nature of research compounds and applicable regulatory requirements, all sales are final and non-refundable. Purchaser may not return any compound once shipped, except in the event of a verified Company error resulting in shipment of the incorrect compound.

8. Governing Law. This Agreement is governed by and construed in accordance with the laws of the State of Idaho, without regard to conflict-of-law principles.

9. Mandatory Arbitration; Jury Trial Waiver; Class Action Waiver. ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PURCHASE OF ANY COMPOUND SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES, WITH PROCEEDINGS IN BONNER COUNTY, IDAHO. PURCHASER IRREVOCABLY WAIVES ANY AND ALL RIGHTS TO A JURY TRIAL IN CONNECTION WITH ANY CLAIM ARISING UNDER OR RELATED TO THIS AGREEMENT. ALL CLAIMS SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY. PURCHASER WAIVES THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

10. Electronic Signature; E-SIGN Compliance. By signing electronically, Purchaser expressly acknowledges that: (a) Purchaser has read this Agreement in its entirety; (b) Purchaser understands all terms and conditions; (c) Purchaser’s electronic signature constitutes a legally binding signature to the same extent as a handwritten signature, pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act as adopted in Idaho; (d) Purchaser’s IP address, device information, and timestamp are electronically recorded as part of this Agreement; and (e) Purchaser enters into this Agreement voluntarily and without duress or undue influence.
